R. Franklin Balotti has appeared in and argued many of the leading cases defining the duties of corporate directors under Delaware law. A director in the firm’s Corporate Department, his practice focuses on advising and representing corporations and corporate directors in transactions and corporate governance matters. Frank has extensive experience with respect to fiduciary duties, corporate control disputes, extraordinary transactions and related matters. His practice also includes the representation of special and standing board committees and the conduct of internal corporate investigations.
Co-author of The Delaware Law of Corporations and Business Organizations and Meetings of Stockholders, Frank has authored and co-authored numerous articles on a host of corporate law topics in The Business Lawyer, The University of Miami Law Review, The Delaware Journal of Corporate Law and other legal publications.
Frank has been an adjunct professor at Cornell Law School and the University of Miami School of Law. He is also a frequent speaker on corporate and fiduciary issues at continuing legal education programs.
